Terms of Service

Terms of Service

Jimoto LLC (“we,” “us,” “our”) provides SEO and digital marketing services under the following Terms of Service (“Terms”). These govern all engagements with our clients.


1. Services We offer:
→ Local SEO audits and recommendations
→ Google Business Profile optimization
→ Citation building and directory management
→ Keyword research and content optimization
→ Monthly reporting and analytics
→ Optional additional services (e.g. review management, local PPC)—as agreed in writing
Scope, deliverables, fees, timelines, and milestones will be defined in a separate Service Agreement or Proposal.


2. Client Obligations
→ You agree to provide accurate information about your business, including web access, login credentials, and other data needed for service delivery.
→ You commit to giving timely feedback, approvals, and access to documentation or platforms as requested.
→ Maintaining compliance with applicable laws and platform rules (e.g. Google’s guidelines) remains your responsibility.


3. Fees, Billing, and Payment
Fees will be outlined in your Proposal or Agreement and may be billed as:
→ Recurring monthly fees
→ Fixed project fees
→ Hourly consulting rates (if applicable)
Payment terms:
→ Payment due within [e.g. 15, 30] days of invoice date
→ Late payments may incur a [e.g. 1.5%] monthly interest or a flat late fee
You are responsible for any applicable taxes unless exempt.


4. Term and Termination
→ These Terms and the Services Agreement begin on the effective date and continue for the agreed term (e.g. 6 or 12 months), then renew automatically unless canceled in writing.
→ Either party may terminate early: – Without cause by giving [e.g. 30 days]’ notice or – Immediately if the other party materially breaches its obligations and fails to cure within [e.g. 10 days]
→ Upon termination, you pay for services rendered up to the termination date. Services requiring recurring billing stop after the date specified.


5. Performance & Results
→ Our deliverables (e.g. keyword ranking, local citations) are designed to support SEO performance—but we do not guarantee specific results, such as first-page rankings, lead volume, or revenue growth. SEO outcomes depend on many variables.
→ We commit to performing services with reasonable skill, in accordance with industry standards.


6. Proprietary Rights & Use
→ We grant you a non-exclusive, revocable license to use materials provided (e.g. strategy reports, content outlines) solely for your business operations.
→ We retain all ownership of our proprietary tools, methodologies, templates, and any pre‑existing intellectual property.
→ You grant us a limited license to access or work on your content and online assets (e.g. website, Google profiles, CMS).


7. Confidentiality
→ Both parties agree to keep confidential any non-public information received during the engagement, unless disclosure is required by law.
→ These obligations last for the term of the agreement plus [e.g. two years] post‑termination.


8. Disclaimers & Limitation of Liability
→ Disclaimer of warranties: Services are provided “as is”; we disclaim all implied warranties unless prohibited by law.
→ Limitation of liability: Except for wilful misconduct or gross negligence, our maximum liability will not exceed the total fees paid by you in the prior [e.g. six months or term duration].
→ Under no circumstances are we liable for indirect, special, incidental, or consequential damages (e.g. loss of revenue or clients).


9. Indemnification
→ You agree to indemnify, defend, and hold us harmless from any third-party claims arising from: – Content you supply or – Violations of law or platform policies or – Misuse of deliverables beyond the agreed scope
→ We will notify you of any claim and cooperate reasonably in defense.


10. Independent Contractor Relationship
We operate as an independent contractor. Nothing in these Terms creates an employer-employee relationship, joint venture, or agency.


11. Governing Law & Dispute Resolution
→ These Terms are governed by the laws of Wyoming, without reference to conflicts of law principles.
→ Disputes will be initially resolved via good-faith negotiation. If unresolved, submit to binding arbitration in Casper, Wyoming (or alternative agreed location), under [e.g. AAA] rules
→ Each party bears their own costs, and arbitrator’s decision is final and enforceable


12. Changes to Terms
→ We may update these Terms occasionally. Changes will be effective upon posting and apply to future service periods.
→ Significant changes will be communicated in advance to existing clients.
